These Terms and Conditions define the rules for using the Synomi service, available at synomi.ai.
Synomi is available as a web service (synomi.ai) and as a companion application for mobile devices running iOS and Android, distributed via the Apple App Store and Google Play respectively. The use of the mobile application is governed by a separate document: “Mobile App Terms of Use”.

3.1. Synomi is a B2B service intended for small and medium-sized enterprises (SMEs) conducting business activity in the Netherlands. The Service is not intended for private users.
3.2. An Account can be created free of charge: classically, using an e-mail address, or via “Sign in with Apple” or “Sign in with Google”.
3.3. Using Synomi requires an active Account with genuine data of a company registered with the Dutch Chamber of Commerce (Kamer van Koophandel®), in particular a KvK number and a BTW number (VAT ID). Adding a company during onboarding is subject to immediate verification against the KvK register.
3.4. One Account can be assigned to only one company (KvK number).
3.5. An Account whose registration (onboarding) process was interrupted due to company data not being provided, or false company data being provided, is deleted from the service without separate notification within up to 14 days.
3.6. The Service Provider reserves the right to verify that Account data matches the KvK register — including requesting that the User provide a current KvK register extract (uittreksel), obtained at the User's expense. In the event of a justified suspicion that the Account uses a company's data without authority to represent it, or if the extract is not provided within the set deadline, the Service Provider may block or delete the Account and notify the competent authorities.
3.7. The User undertakes to: keep their password and access keys secure, use two-factor authentication (2FA), and immediately report any unauthorized access to the Account.
3.8. The User may delete the Account directly in Synomi (Profile → Delete account). Deletion starts a 30-day grace period during which the decision can be reversed by signing in again; after it expires, the data is permanently and irreversibly deleted.
3.9. A trial Account on which, after the 14-day trial period has expired, no documents have been created and no Subscription has been activated, is deleted immediately, without separate notification. Deletion of an Account containing documents follows the procedure set out in point 3.8.
4.1. Synomi offers a subscription in monthly and multi-month plans. The subscription and additional modules are purchased exclusively on the website synomi.ai. The current pricing is available on the website.
4.2. The prices shown on the website are net prices. 21% VAT applies to the amounts shown. Prices may change, and users will be notified in advance.
4.3. Payments are processed by Mollie B.V. We accept: iDEAL, credit cards, Bancontact, BLIK, Przelewy24.
4.4. Subscriptions do not renew automatically. The user decides on renewal.
4.5. Subscription invoices are issued electronically and sent to the email address.
4.6. Purchasing and renewing the subscription and additional modules is not possible in the Synomi mobile app (iOS and Android).

5.5. During the trial period, the User has access to all Synomi modules. After the trial period ends, the User decides which additional modules to use.
6.1. The Voice-to-Invoice™ feature enables creating invoices and operating other Synomi functions using voice commands.
6.2. Voice commands processed by the AI system are not stored after the operation is completed.
6.3. The User is responsible for verifying the accuracy of data before approving a document created using the Voice-to-Invoice™ feature.

The User, as the Data Controller, bears sole responsibility for the accuracy, completeness and archiving of documents created and stored in the Synomi system for the period required by applicable law. Synomi has no statutory or contractual obligation to store the User's accounting documents, tax documents or other data on the User's behalf. The Synomi system is an IT tool that enables the creation and management of documents but does not replace the archiving obligations arising from the law.

8.2. The User retains full rights to their data (invoices, client catalog, suppliers, products, and other documents created in the Synomi program).
8.3. Copying, modifying, or distributing elements of the service without permission is prohibited.
8.4. Logos, trade names and trademarks of third parties — including Synomi's partners and our Users — displayed on the website or in the application are used for informational purposes only: with the knowledge and consent of their owners, or in accordance with their published brand usage guidelines (including the Apple, Google, App Store, Google Play, Mollie, Anthropic, Kamer van Koophandel® and VIES marks). They remain the intellectual property of their respective owners, and their presence in Synomi does not imply any transfer of rights or any endorsement of Synomi by those parties.
9.1. Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data (GDPR) and the Dutch Algemene Verordening Gegevensbescherming (AVG) and the Uitvoeringswet AVG (UAVG).

9.3. Data is stored on servers located in the European Union (Netherlands).
9.4. Roles of the parties. With regard to the data that the User enters or generates in Synomi in the course of their business (client data, invoice content, receipts and documents, voice-command transcripts, GPS routes), the User is the Controller (Art. 4(7) GDPR) and Synomi is the Processor (Art. 4(8) GDPR). This section constitutes a data processing agreement (verwerkersovereenkomst) within the meaning of Art. 28 GDPR. With regard to the User's account data (registration, contact, payment data, logs), Synomi acts as an independent Controller — governed by the Privacy Policy.
9.5. Subject, purpose and duration. The processing covers personal data solely for the purpose of providing the Synomi features chosen by the User (including issuing and sending documents, OCR, Voice-to-Invoice, mileage, calendar) and lasts for the term of the agreement. The categories of data include data of the User's clients and other persons entered by the User (name, company data, address, e-mail, VAT number, document content).
9.6. Synomi's obligations as Processor. Synomi: (a) processes data solely on the User's documented instructions (use of a feature constitutes such an instruction); (b) ensures the confidentiality of persons authorised to process the data; (c) applies technical and organisational measures compliant with Art. 32 GDPR (encryption, access control, backups); (d) assists the User in fulfilling data-subject rights and the obligations under Art. 32–36 GDPR; (e) notifies the User of a personal-data breach without undue delay after becoming aware of it; (f) upon termination of the agreement deletes the data (see section 10) or enables its export.
9.7. Sub-processors. The User gives general authorisation for Synomi to use the sub-processors listed in section 6 of the Privacy Policy (currently: Mollie, Anthropic, Google, Apple — only for features chosen by the User). Synomi will give prior notice of any intended addition or change of a sub-processor (update to the Privacy Policy and e-mail for material changes); the User may object and, if the objection cannot be accommodated, terminate the agreement. Each sub-processor is bound by obligations no less protective than those set out in this section.
9.8. Data location and transfers. Data is stored on Synomi's own server in a data centre in the Netherlands. Transfers to sub-processors outside the European Economic Area (Anthropic, Google, Apple — USA) take place on the basis of Standard Contractual Clauses (SCC) approved by the European Commission and, for Google and Apple, additionally under the EU-US Data Privacy Framework.
9.9. Audit. Synomi makes available to the User the information necessary to demonstrate compliance with Art. 28 GDPR. Audits are conducted on the basis of documentation and written responses; on-site audits only by prior arrangement, during business hours, without disrupting the service and respecting the confidentiality of other Users.
10.1. The User may cancel the service at any time. The rules for deleting the Account at the User’s request — including the 30-day grace period — are set out in section 3.8.
10.2. When the subscription ends, the account switches to read-only mode — the data remains available for viewing and download, and full functionality is restored upon purchasing any package. If the account remains inactive (no logins and no active subscription) for an uninterrupted period of 24 months, the Service Provider may delete the data after prior notification by e-mail, granting a 30-day period to download the data or renew the subscription.
10.3. The Service Provider may terminate the agreement with immediate effect in case of:

11.2. If you are unable to sign in to Synomi, send a request to support@synomi.ai with a description of the problem — from the e-mail address assigned to the User's Synomi Account.
11.3. For problems with company registration, send a request to hello@synomi.ai; a response is provided within up to 7 business days.
11.4. Complaints are processed within 14 working days.
12.1. The Service Provider reserves the right to change the Terms and Conditions.
12.2. Users will be notified of changes by email 14 days in advance.
12.3. Using the service after changes take effect constitutes acceptance.
13.1. The mobile application does not offer in-app purchases and is used to access the features covered by the subscription purchased on the website. The subscription and additional modules are purchased exclusively on the synomi.ai website.
13.2. The mobile application may request access to the microphone (Voice-to-Invoice™ feature), the device location — including in the background (mileage / trip log), and the camera (document scanning / OCR). The scope and purpose of processing this data is described in the “Data in the mobile application” section of the Privacy Policy. Granting permissions is voluntary but necessary for the related features to work.
13.3. Provisions concerning the iOS application (Apple). For the application downloaded from the Apple App Store, the following provisions additionally apply, as required by Apple Inc. (“Apple”):
13.4. Provisions concerning the Android application (Google Play). Use of the application downloaded from Google Play is additionally subject to the Google Play Terms of Service. Google is not a party to these Terms and Conditions.
14.1. Matters not regulated by these Terms and Conditions are governed by Dutch law.
14.2. All disputes will be resolved by the court having jurisdiction over the Service Provider's registered office (Rotterdam).
14.3. These Terms and Conditions in version 1.6 come into effect on July 24, 2026. The first version came into effect on December 12, 2025.
